These Terms & Conditions ("Terms") govern your use of NOTOXIC® Universe, a multi-brand marketplace platform offering sustainable products, services, and community features. By accessing or using our platform, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing, browsing, or using NOTOXIC® Universe, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our platform.

These Terms apply to all users, including visitors, registered members, vendors, partners, and B2B customers.

2. Use of NOTOXIC® Universe

NOTOXIC® Universe is a curated multi-brand marketplace providing:

eCommerce Services: Purchase of products across brands (OneSea, Sustainable Clothing™, HeartQuench, and others)
Rental Services: Rental services with security deposits and return policies
Membership Services: Tiered membership program (Essential, Premium, Signature) with credits, benefits, and community access
Community Features: NOTOXIC® Circle community, events, and collaborative programs
Co-pilot Services: AI-powered recommendations and personalized assistance
B2B Services: Corporate supply agreements and bulk orders

3. Eligibility and Account Requirements

3.1 Age Requirements

You must be at least 18 years old to create an account and use our services. Users under 18 may use the platform only with parental or guardian supervision and consent. For OneSea products designed for children, parent or guardian consent is required for purchases.

3.2 Geographic Availability

NOTOXIC® Universe services are primarily available in India. International shipping may be available to select countries. We reserve the right to:

Restrict access from certain countries or regions
Limit services based on local laws and regulations
Modify shipping availability without prior notice
Require additional verification for international orders

If you access the platform from outside India, you are responsible for compliance with local laws and regulations.

3.3 Business Entity Requirements

For B2B accounts and corporate services:

You must be a legally registered business entity
You must provide valid business registration documents
Authorized signatories must have authority to bind the entity
Tax identification numbers (GST, PAN) must be provided
Separate B2B Corporate Supply Agreement terms apply

3.4 Identity Verification

We reserve the right to verify your identity, especially for:

B2B and corporate accounts
Rental services requiring security deposits
High-value transactions (above ₹50,000)
Membership tier upgrades (Premium, Signature)
International orders
Suspected fraudulent activity

Verification may require government-issued identification, proof of address, or business registration documents. Failure to provide requested verification may result in account suspension or order cancellation.

3.5 Account Registration and Security

Account Creation:

One account per person or entity (multiple accounts are prohibited)
You must provide accurate, current, and complete information
You must maintain and update your information promptly
You are responsible for all activities under your account

Account Security:

You are responsible for maintaining the confidentiality of your account credentials
You must use a strong, unique password (minimum 8 characters, including letters, numbers, and symbols)
You must enable multi-factor authentication (MFA) when available
You must not share your account credentials with anyone
You must immediately notify us of any unauthorized access or security breach
You are liable for all activities that occur under your account, whether authorized or not

Account Suspension and Termination:

We reserve the right to suspend or terminate accounts for violations of these Terms
We may suspend accounts pending investigation of suspicious activity
Terminated accounts may not be eligible for reactivation
Upon termination, your right to use the platform ceases immediately

4. Multi-Brand Marketplace Rules

NOTOXIC® Universe operates as a curated marketplace featuring multiple brands. Each brand maintains its own product standards, pricing, and policies while adhering to NOTOXIC® Certification standards.

4.1 Brand Independence

Each brand (OneSea, Sustainable Clothing™, HeartQuench, etc.) operates independently with its own:

Product catalog and inventory
Pricing and promotional policies
Shipping and delivery timelines
Return and refund policies (subject to master Terms)

4.2 NOTOXIC® Certification

All products sold through NOTOXIC® Universe must meet NOTOXIC® Certification standards:

Chemical Clean: No harmful substances or toxins
Social Clean: Ethical labor practices and fair trade
System Clean: Transparent supply chain and sustainable processes

5. Platform Services

5.1 eCommerce

Product listings, pricing, and availability are subject to change. We reserve the right to limit quantities, refuse orders, and modify product information.

5.2 Rental Services

Rental terms are shared at booking and checkout. Security deposits, damage liability, and return policies apply.

5.3 Membership Program

Membership terms are detailed in our Membership Terms. Credits, tier benefits, and renewal policies apply.

5.4 Community and Events

Participation in NOTOXIC® Circle and events is subject to Community Guidelines.

6. Intellectual Property Rights

6.1 Our Intellectual Property

All content on NOTOXIC® Universe, including but not limited to:

Text, graphics, logos, icons, images, audio, video, and software
Website design, layout, user interface, and user experience elements
Product descriptions, specifications, and marketing materials
Algorithms, AI models, recommendation engines, and personalization systems
Documentation, guides, and educational content

is the property of NOTOXIC® Universe or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Unauthorized use, reproduction, or distribution is strictly prohibited.

6.2 Trademarks

The following are trademarks or registered trademarks of NOTOXIC® Universe or respective brand owners:

Other brand names, logos, and service marks displayed on the platform

Unauthorized use of any trademark is prohibited and may constitute trademark infringement. You may not use our trademarks without prior written permission.

6.3 User-Generated Content

License Grant: By submitting, posting, or uploading content (reviews, ratings, comments, posts, images, videos, or other materials) to NOTOXIC® Universe, you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable license to:

Use, reproduce, modify, adapt, publish, translate, and distribute such content
Display, perform, and create derivative works from such content
Use such content for platform operations, marketing, and promotional purposes
Use your name, likeness, and voice in connection with such content

Your Representations: You represent and warrant that:

You own or have the right to grant the license for all content you submit
Your content does not infringe on any third-party rights (copyright, trademark, privacy, etc.)
Your content is not defamatory, libelous, obscene, or illegal
You have obtained all necessary permissions and releases for any individuals or property depicted

Content Moderation: We reserve the right to:

Review, edit, modify, or remove any user-generated content at any time
Refuse to publish or remove content that violates these Terms or our policies
Take legal action against users who submit infringing or illegal content

6.4 Copyright Infringement

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us with:

Description of the copyrighted work
Location of the infringing material on our platform
Your contact information
Statement of good faith belief that use is not authorized
Statement that information is accurate and you are the copyright owner

6.5 Limited License to Use Platform

We grant you a limited, non-exclusive, non-transferable, revocable license to:

Access and use the platform for personal, non-commercial purposes
Download and print content for personal use only
Share links to our content through social media (with attribution)

This license does not permit:

Commercial use, resale, or redistribution of content
Modification, reverse engineering, or creation of derivative works
Removal of copyright, trademark, or proprietary notices
Use of automated systems to access or scrape content

7. Acceptable Use and Prohibited Actions

You agree to use NOTOXIC® Universe only for lawful purposes and in accordance with these Terms. You agree not to:

7.1 Illegal and Unlawful Activities

Use the platform for any unlawful purpose or in violation of any applicable laws or regulations
Violate local, state, national, or international laws
Engage in money laundering, fraud, or other financial crimes
Violate export control laws or trade sanctions
Engage in activities that violate intellectual property rights

7.2 Security and System Integrity

Transmit viruses, malware, trojans, worms, or any other harmful or malicious code
Attempt to gain unauthorized access to systems, networks, accounts, or data
Interfere with, disrupt, or damage platform operations, servers, or networks
Bypass or circumvent security measures, authentication, or access controls
Perform denial-of-service attacks or overload our systems
Use automated systems (bots, scrapers, crawlers) to access or collect data without authorization
Reverse engineer, decompile, or disassemble any part of the platform

7.3 Fraudulent and Deceptive Practices

Engage in fraudulent, abusive, or deceptive practices
Provide false, misleading, or inaccurate information
Impersonate others, entities, or brands
Create fake accounts or use multiple accounts to circumvent restrictions
Manipulate prices, reviews, ratings, or feedback
Use stolen payment methods or credit cards
Engage in chargeback fraud or payment disputes in bad faith

7.4 Commercial and Resale Restrictions

Resell products for commercial purposes without written authorization
Purchase products in bulk for resale without a valid B2B agreement
Use products or services to compete with NOTOXIC® Universe
Extract or scrape product data, pricing, or content for competitive purposes

7.5 Content and Communication

Post, upload, or transmit content that is defamatory, libelous, obscene, or offensive
Harass, threaten, abuse, or harm other users, staff, or third parties
Post spam, unsolicited commercial messages, or chain letters
Violate privacy rights or disclose personal information of others
Post content that promotes illegal activities or hate speech
Infringe on intellectual property rights of others

7.6 Consequences of Violations

Violation of these restrictions may result in:

Immediate suspension or termination of your account
Cancellation of pending orders
Forfeiture of credits, membership benefits, or deposits
Legal action and prosecution to the fullest extent of the law
Reporting to law enforcement authorities
Civil liability for damages

8. Orders, Pricing, and Payments

8.1 Order Placement and Acceptance

When you place an order:

You make an offer to purchase products at the listed prices
We reserve the right to accept or reject any order at our discretion
Order acceptance occurs when we send an order confirmation email
All orders are subject to product availability
We may limit quantities per customer to prevent abuse
We reserve the right to refuse orders from resellers or bulk purchasers without B2B agreements

8.2 Pricing and Currency

All prices are displayed in Indian Rupees (INR) unless otherwise stated
Prices are subject to change without notice
Prices do not include shipping, handling, or taxes unless explicitly stated
GST and applicable taxes are calculated and added at checkout
International orders may be subject to customs duties and import taxes (your responsibility)
Prices for rental services include rental fees and security deposits as specified

8.3 Pricing Errors

We strive for accuracy in pricing, but errors may occur:

If we discover a pricing error, we will notify you and offer to:
- Honor the price for existing confirmed orders (at our discretion)
- Cancel the order and provide a full refund
- Offer the product at the correct price
We reserve the right to cancel orders placed at incorrect prices
We are not obligated to honor obvious pricing errors (e.g., ₹1 for a ₹10,000 product)

8.4 Payment Terms

Payment terms are detailed in our Payment & Billing Policy. Key terms include:

Payment must be received before order processing and shipment
Accepted payment methods: Credit/debit cards, UPI, net banking, wallets, and cash on delivery (where available)
B2B customers may have credit terms as per their corporate agreement
Failed payments may result in order cancellation
Payment processing is handled by secure third-party providers (Razorpay)
We do not store full credit card numbers on our servers

8.5 Order Cancellation by Us

We reserve the right to cancel orders for:

Pricing errors or product unavailability
Suspected fraud or payment issues
Violation of these Terms or purchase limits
Shipping restrictions or address verification failures
Technical errors or system failures

If we cancel your order, we will notify you and provide a full refund if payment was received.

8.6 Order Cancellation by You

You may cancel orders subject to our Cancellation Policy:

Pre-orders and made-to-order items have specific availability timelines

9.3 Warranties

Service Warranties:We provide services "as is" and "as available" without warranties of any kind, express or implied, including but not limited to:

Warranties of uninterrupted, secure, or error-free service
Warranties that defects will be corrected

9.4 Sustainability and Impact Claims

Environmental impact metrics, sustainability claims, and certifications are:

Based on verified data and industry-standard calculation methods
Estimates and approximations, not guarantees
Subject to change as methodologies and data improve
Provided for informational and educational purposes

9.5 Third-Party Products and Services

We may feature products or services from third-party vendors or partners:

We are not responsible for third-party products, services, or content
Third-party products are subject to their own terms, warranties, and policies
We do not endorse or guarantee third-party products or services
Your interactions with third parties are at your own risk

10. Service Availability and Platform Modifications

10.1 Service Availability

We strive to provide continuous access to NOTOXIC® Universe, but:

We do not guarantee uninterrupted, secure, or error-free service
Service may be temporarily unavailable due to maintenance, updates, or technical issues
We may perform scheduled maintenance with advance notice when possible
Emergency maintenance may occur without notice
Service availability may be affected by factors beyond our control (internet outages, natural disasters, etc.)

10.2 Platform Modifications

We reserve the right to:

Modify, update, or discontinue any feature, service, or product at any time
Change platform design, functionality, or user interface
Add or remove features, brands, or services
Modify pricing, policies, or terms with notice as required
Discontinue the platform or any part thereof (with reasonable notice)

10.3 Beta Features and Testing

We may offer beta features, experimental services, or testing programs:

Beta features are provided "as is" and may be unstable or incomplete
We may discontinue beta features at any time without notice
Data in beta features may be lost or reset
Participation in beta programs is voluntary and at your own risk

11. Limitation of Liability

To the maximum extent permitted by applicable law:

11.1 Exclusion of Damages

NOTOXIC® Universe, its affiliates, officers, directors, employees, and agents shall not be liable for:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, use, goodwill, or other intangible losses
Damages resulting from your use or inability to use the platform
Damages resulting from unauthorized access to or alteration of your data
Damages resulting from third-party conduct or content
Damages resulting from force majeure events

11.2 Limitation of Total Liability

Our total liability to you for all claims arising from or related to:

Product purchases: Limited to the amount you paid for the specific product (excluding shipping and taxes)
Services: Limited to the amount you paid for the specific service in the 12 months preceding the claim
Platform use: Limited to ₹1,000 or the amount you paid us in the 12 months preceding the claim, whichever is greater

11.3 Exceptions

These limitations do not apply to:

Liability that cannot be excluded or limited under applicable law
Personal injury or death caused by our negligence
Fraud or fraudulent misrepresentation
Willful misconduct or gross negligence

11.4 Acknowledgment

You acknowledge that:

The limitations of liability reflect the allocation of risk between the parties
These limitations are an essential element of the basis of the bargain between us
We would not provide the platform without these limitations

12. Indemnification

You agree to indemnify, defend, and hold harmless NOTOXIC® Universe, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:

Your use or misuse of the platform, products, or services
Your violation of these Terms or any applicable law or regulation
Your infringement of any intellectual property, privacy, or other rights of others
User-generated content you submit, post, or transmit
Your violation of any third-party rights
Your fraudulent, illegal, or unauthorized activities
Any dispute between you and a third party

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

13. Termination

13.1 Termination by Us

We reserve the right to suspend or terminate your account and access to the platform at any time, with or without cause or notice, including for:

Violation of these Terms or any applicable policy
Fraudulent, illegal, or unauthorized activity
Non-payment, payment disputes, or chargeback fraud
Abusive, harassing, or threatening behavior toward staff or other users
Infringement of intellectual property or other rights
Providing false or misleading information
Extended period of account inactivity (as defined in our policies)
Any reason we deem necessary to protect the platform, users, or our rights

13.2 Termination by You

You may terminate your account at any time by:

13.3 Effect of Termination

Upon termination:

Your right to access and use the platform ceases immediately
All pending orders may be cancelled (subject to our cancellation policy)
You remain liable for all charges and obligations incurred before termination
We may delete or retain your account data as per our Privacy Policy
Provisions that by their nature should survive termination will survive

13.4 Survival

The following provisions survive termination: Intellectual Property, Indemnification, Limitation of Liability, Dispute Resolution, and any other provisions that by their nature should survive.

14. Dispute Resolution and Governing Law

14.1 Informal Resolution

Before initiating formal dispute resolution, you agree to:

Provide a written description of the dispute and desired resolution
Allow us 30 days to respond and attempt resolution

14.2 Mediation

If informal resolution fails, disputes shall be referred to mediation:

Mediation shall be conducted by a mutually agreed mediator
Mediation shall be conducted in Mumbai, India
Each party shall bear its own costs, and mediation costs shall be shared equally
Mediation must be completed within 60 days of initiation

14.3 Arbitration

If mediation fails, disputes shall be resolved through binding arbitration:

Arbitration shall be conducted under the Arbitration and Conciliation Act, 2015 (India)
Arbitration shall be conducted by a single arbitrator appointed by mutual agreement
Arbitration shall be conducted in Mumbai, India, in English
Arbitration award shall be final and binding
Arbitration proceedings shall be confidential

14.4 Class Action Waiver

You agree that disputes will be resolved individually and waive any right to:

Participate in class action lawsuits
Participate in consolidated or representative proceedings
Act as a class representative or class member

14.5 Exceptions

The following disputes are not subject to arbitration:

Intellectual property disputes (copyright, trademark infringement)
Disputes seeking injunctive relief
Small claims court disputes (where applicable)

14.6 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. For disputes not subject to arbitration, the courts in Mumbai, Maharashtra, India shall have exclusive jurisdiction.

15. Third-Party Services and Links

NOTOXIC® Universe may contain links to third-party websites, services, or content:

We are not responsible for third-party content, services, or websites
Links are provided for convenience only and do not constitute endorsement
Third-party services are subject to their own terms and privacy policies
Your interactions with third parties are at your own risk
We are not liable for any loss or damage arising from third-party services

15.1 Payment Processors

Payment processing is handled by third-party providers (e.g., Razorpay):

Payment transactions are subject to the payment processor's terms
We are not responsible for payment processor errors or failures
Payment data is processed according to the processor's privacy policy

15.2 API Usage

If we provide APIs or developer tools:

API usage is subject to separate API terms and rate limits
Unauthorized API access or abuse may result in termination
APIs are provided "as is" and may be modified or discontinued

16. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:

Natural disasters, earthquakes, floods, fires, or other acts of God
War, terrorism, civil unrest, or government actions
Pandemics, epidemics, or public health emergencies
Internet outages, cyberattacks, or infrastructure failures
Strikes, labor disputes, or supply chain disruptions
Changes in laws or regulations

During force majeure events, we will make reasonable efforts to minimize disruption and resume normal operations as soon as practicable.

17. Assignment and Transfer

By Us: We may assign, transfer, or delegate these Terms or any rights or obligations hereunder to any third party, including in connection with a merger, acquisition, or sale of assets. We will notify you of material assignments.

By You: You may not assign, transfer, or delegate these Terms or any rights or obligations without our prior written consent. Any attempted assignment without consent is void.

18. Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other provision. Any waiver must be in writing and signed by an authorized representative. A waiver of any breach shall not constitute a waiver of any subsequent breach.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

The invalid provision shall be modified to the minimum extent necessary to make it valid
If modification is not possible, the provision shall be severed
The remaining provisions shall remain in full force and effect
The invalid provision shall not affect the validity of the rest of the Terms

20. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and other referenced policies, constitute the entire agreement between you and NOTOXIC® Universe regarding your use of the platform and supersede all prior or contemporaneous agreements, communications, or understandings.

If there is a conflict between these Terms and any other agreement (e.g., B2B Agreement, Membership Terms), the specific agreement shall govern for that service, and these Terms shall govern for all other matters.

21. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted on the platform or when we notify you, whichever is earlier.

21.1 Material Changes

For material changes (e.g., changes to dispute resolution, liability limitations, or user rights), we will:

Provide at least 30 days' advance notice
Send email notification to your registered email address
Display a prominent notice on the platform
Highlight the key changes in the notification

21.2 Your Acceptance

Continued use of the platform after changes constitutes acceptance of the modified Terms. If you do not agree to the changes:

You must stop using the platform immediately
You may terminate your account as described in Section 13
You may contact us to discuss your concerns
